By applying for this promotion, the reader will be deemed to have read and understood these terms and conditions and to be bound by them, and agrees to abide by all terms of these Official Terms applicable thereto, subject to all local, state and feder al laws and regulations. Eligibility
This promotion is open to legal residents of the fifty United States (including District of Columbia) aged 18 or over. Diagnostic Instruments, Inc., reserves the right to verify the eligibility of referring parties.
This offer is not open to employees of Diagnostic Instruments, Inc., or their immediate families (spouses, siblings, children, household members and the spouses and children of the foregoing), their agents, retail staff, channel partners, including dea ler resellers or anyone connected with the promotion. Dealer resellers may not submit claims on behalf of their customers. To qualify for this promotion, applicant must submit referrals by close of business, August 31, 2007 and referred parties must purchase a qualifying product by December 31, 2007.
To qualify for this Promotion, you must register at www.diaginc.com/referafriend Purchases must be made from an authorized SPOT Direct Imaging Specialist. Dealer purchases are not included at this time. Webstore purchases or purchases of webstore listed products through a SPOT Direct Imaging Specialist do not qualify. For the av oidance of doubt, product substitutions, upgrade versions and not-for-resale products are not included under this promotion, especially used, refurbished or demonstration products. Referrals are not retroactive.
Referrals of currently engaged customers or prospective customers with developing or pending opportunities as identified by Diagnostic Instruments, Inc. system do not qualify for this promotion.
You may refer as many friends as you would like, and in doing so, you may only win up to one MAC TV, one iPOD Nano, one Microsoft Zune media players, and one copy of SPOT 4.7 software based upon the qualifying purchases of those referrals.
Registration Requirement

Prizes
Prizes will be awarded based upon the following schedule:
- Qualifying purchase by a referral of a SPOT Boost camera, a SPOT Xplorer Camera, or a SPOT Pursuit camera qualifies the referrer to the award of one apple TV, one Microsoft Zune 30Gb media player, or one iPod Nano 2Gb music player and one copy of SPOT Advanced Software (for PC or for Mac).
- Qualifying purchase by a referral of a SPOT RT3 camera, a SPOT Insight 4Mpixel Camera, or a SPOT Insight 2 Mp camera qualifies one iPod Nano or one copy of SPOT Advanced Software (for PC or for Mac).
Please note: Qualifying cameras included within an integrated system, such as SPOT Diagnostic Pathology systems, or CARV2 Confocal Imaging systems do qualify for this promotion. Any other cameras or products not specifically mentioned in items 1 and 2 (above) do not qualify for the Refer-a-Friend promotion
If for any reason during the term of this promotion the listed prizes are not available, a substitute prize will be awarded with an equal or greater commercial value to those listed. Diagnostic Instruments, Inc. may at its sole discretion and at any time substitute or replace any advertised prizes with any other prizes of equal or similar value, and reserves the right to determine the value of the prizes. If the prizes comprise manufactured items, they shall be subject to the manufacturer's terms and conditions for warranty, service and maintenance, and Diagnostic Instruments, Inc. does not accept any responsibility for the same. Warranty period for prizes commences on the date the prize was purchased by Diagnostic Instruments; with the exception of SPOT software, which commences at the time the software download link is made available to the referring party.
Transference of Prizes
Awarded prizes will be shipped to the address of the referring party within 8-12 weeks of qualifying purchase. Award winners will be responsible for payment of all taxes, if applicable, in connection with the receipt of prizes. Additionally, award winners are responsible for other fees, including customs, duties, and shipping charges relating to any prizes shipped outside of the 48 contiguous states of the United States. Award winners within the 48 contiguous states will be responsible for any other associated fees, if applicable.
Prizes will not be awarded for any qualifying products that are returned for any reason within 60 days of the qualifying purchase date. A qualifying purchase date is deemed as the date that Diagnostic Instruments, Inc. receives an approved payment for the qualifying product. Diagnostic Instruments, Inc. reserves the right to refuse payment to any purchaser for any reason, or deem a prospective purchaser unworthy of credit, and will not be responsible to the referring party for any such decision or any prizes connected with the decision. Diagnostic Instruments, Inc, its agents or dealers cannot accept any liability for lost or stolen or damaged prizes including any prizes lost or misdirected by the Postal Service or other delivery service. Any prize or prize notification returned to Diagn ostic Instruments, Inc. as undeliverable or undelivered and not claimed within 1 month of notification will be void. All prizes offered under this promotion are non-exchangeable (i.e. no cash or other alternative will be offered in lieu of stated prizes unless at the expressed decision of Diagnostic Instruments, Inc.) and non-refundable. Software may not be transferred to third parties.
General Terms of Promotion
This Promotional Agreement shall be deemed to have been made and executed in the State of Michigan, and any dispute arising hereunder shall be resolved in accordance with the local law of that State. The parties hereby consent to and submit to the jur isdiction of the federal and state courts located in the State of Michigan, and any action or suit under this Agreement shall only be brought by the parties in the federal or state court with appropriate jurisdiction over the subject matter thereof establ ished or sitting in that State. Every effort has been made to ensure that the information in this document is accurate. Diagnostic Instruments, Inc. is not responsible for printing errors. Diagnostic Instruments, Inc. shall not be liable for any costs, claims, damages or loss occasioned by any failure, however caused, to fulfill the terms of this promotion.
Diagnostic Instruments, Inc. shall not be liable for any failure to fulfill this promotion where such failure is caused by any supervening circumstances amounting to force majeure. Such circumstances shall include, but shall not be limited to severe we ather conditions, fire, flood, earthquake, riots, industrial dispute, acts of God, supervening legislation or events which, without the fault of either party, render performance impossible or incapable of satisfactory execution.
Diagnostic Instruments, Inc. shall use all reasonable efforts to provide the products in accordance with the shipping timetable, but shall not be liable for failure to meet the Timetable. Diagnostic Instruments, Inc. is also not responsible for technical, hardware or software failures of any kind, lost or unavailable network connections or failed, incomplete, garbled or delayed software transmissions which may limit your ability to partici pate in the promotion or for damage to your system as a result of participation in the promotion or downloading any information necessary to participate in the promotion.
Diagnostic Instruments, Inc. reserve the right in their sole discretion, to cancel or modify the promotion should any computer virus, malfunction or other cause beyond its control corrupt the administration, security or proper operation of the promotio n. This Promotion is void to the extent that it is prohibited or restricted by law. Diagnostic Instruments, Inc. may declare this promotion to be void where it is prohibited or restricted by applicable law. This promotion cannot be used in conjunction with any other promotion.
